Terms of Service

Effective November 1, 2026

These terms are a binding agreement between Befikr ("Befikr", "we", "us") and the business or person that creates a workspace ("you"). By ticking the box at sign-up, or by using the service, you accept these terms. If you accept for a company, you confirm that you have authority to bind it.

1. The service

Befikr is software for insurance and investment advisors to manage clients, policies, documents, compliance records and related work. It is for business use only, and you must be at least the age of majority where you live. We may change, add or remove features at any time.

2. Not professional advice

Befikr is a tool. It does not give financial, insurance, tax, legal or compliance advice. Reports, financial needs analyses, compliance indicators, suggested next actions and AI output are aids only, and they may be wrong or incomplete. You remain solely responsible for your advice, your recommendations, your clients and every decision you make.

3. Your account

  • You must give accurate information and keep it current.
  • You are responsible for all activity under your workspace, including by people you invite, and for keeping access to your email accounts secure.
  • Tell us promptly at legal@befikr.ca if you suspect unauthorized access.

4. Your data and your clients

You keep ownership of the data you put into Befikr ("Your Data"). You give us a worldwide, royalty-free licence to host, copy, process and transmit Your Data as needed to run, secure, support and improve the service.

You are responsible for Your Data and for having the right to use it. That includes getting every consent and giving every notice required from your clients, and complying with the laws and rules that apply to you, including privacy law, Canada's anti-spam law (CASL), and the requirements of your regulators, insurers and dealers.

You should keep your own copies of anything you must retain. Regulatory record-keeping remains your responsibility.

5. Acceptable use

You must not:

  • break any law, or infringe anyone's rights;
  • send spam, or message people without the consent the law requires;
  • upload malware, or test, probe or attack the service without our written permission;
  • access another customer's data, or get around limits or security controls;
  • copy, resell or reverse engineer the service, or use it to build a competing product.

6. AI features

AI features send the relevant content to our AI provider to produce a result. AI output can be inaccurate. You must review it before relying on it or sending it to anyone. AI credits have no cash value, and unused credits may expire.

7. Trials, fees and renewal

  • New workspaces get a 14-day trial. When it ends, the workspace may become read-only until you choose a paid plan.
  • Paid plans renew automatically for each billing period until cancelled. By subscribing, you authorize us and our payment processor to charge your payment method.
  • Prices are in Canadian dollars unless stated otherwise, and exclude taxes, which you must pay.
  • Fees are non-refundable, including for partial periods, unused credits and unused seats, except where the law requires otherwise.
  • You can cancel at any time. Cancellation takes effect at the end of the current period.
  • We may change prices by giving at least 30 days' notice. The new price applies from your next renewal.
  • If payment fails, we may limit or suspend the workspace until it is paid.

8. Suspension and termination

We may suspend or end your access, with or without notice, if you breach these terms, fail to pay, create a risk to the service or to others, or if the law requires it. You may stop using the service at any time.

After a workspace is deleted, we keep it for at least 90 days and may then permanently erase its records. Until then it may be possible to restore it. We have no duty to keep Your Data after that, so export what you need first.

9. Support access

To give support, our authorized staff can sign in to your workspace as its owner for a limited time. Each session requires a reason, shows a visible banner, and is recorded in the audit log and your activity feed.

10. Our property

The service, its software, design and the Befikr name and logo belong to us or our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription, and no other rights. If you send us feedback, we may use it freely without paying you.

11. Disclaimer

The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the service will be uninterrupted, error-free, secure against every attack, or free of data loss, or that it will meet any regulatory requirement that applies to you.

12. Limit of liability

To the fullest extent the law allows, neither we nor our officers, employees, suppliers or licensors are liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, clients, commissions, goodwill or data, or for regulatory penalties, however caused and even if we were told they were possible.

Our total liability for all claims relating to the service or these terms will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, and (b) CAD $100.

13. Indemnity

You will defend and indemnify us and our officers and employees against claims, losses, penalties and costs, including reasonable legal fees, arising from Your Data, your advice or services to your clients, your use of the service, or your breach of these terms or of any law.

14. Disputes

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Any dispute will be finally resolved by confidential binding arbitration in Toronto, Ontario, before one arbitrator, in English. Either party may still go to court for urgent injunctive relief or to protect intellectual property, and we may go to court to collect unpaid fees. Claims must be brought individually, not as part of a class or representative action, and within one year after they arise.

15. Changes to these terms

We may update these terms. For a material change we will give notice by email or in the service at least 14 days before it takes effect. Continuing to use the service after that date means you accept the change. If you do not accept it, you must stop using the service.

16. General

These terms and the Privacy Policy are the entire agreement between us on this subject. You may not assign them without our written consent, and we may assign them, including in a sale or reorganization. We are not liable for delays or failures caused by events beyond our reasonable control. If part of these terms cannot be enforced, the rest stays in effect, and not enforcing a right is not a waiver of it. Sections that by their nature should continue, including 4, 10 to 14, survive termination. The parties have asked that these terms be written in English. Nothing here removes a right that the law says cannot be removed.
